These Terms & Conditions (the “Terms”) govern participation in the Netwave Solutions Affiliate Program (the “Program”). By applying to, enrolling in, or participating in the Program, you (“Affiliate,” “you”) agree to these Terms. If you do not agree, do not participate. “Netwave,” “we,” “us,” and “our” refer to Netwave Solutions.

• “Referral Link” — the unique link (e.g., netwavesolutions.com/go/yourname) assigned to you to track referrals.
• “Referred Customer” — a customer who subscribes to a Netwave Authority Platform plan through your Referral Link, or whom you introduce to us directly and we attribute to you.
• “Qualifying Payment” — a subscription payment actually received and cleared by Netwave from a Referred Customer that is not later refunded, reversed, or charged back.
• “Commission” — the amount payable to you on a Qualifying Payment under Section 5.

Enrollment is free and subject to our approval. We may approve or decline any application, and may suspend or terminate any account, at our discretion. You must provide accurate information and keep it current. You must be at least 18 years old and legally able to enter into these Terms.

You are an independent contractor, not an employee, agent, partner, or joint venturer of Netwave. You have no authority to make any commitment on our behalf. You are responsible for your own taxes, expenses, and business operations. Nothing in these Terms creates an employment or agency relationship.

Subject to these Terms, you earn Commissions on Qualifying Payments from your Referred Customers as follows:

• First 12 months: Foundation tier — 10%; Growth tier — 7%; Authority tier — 7% of each Qualifying Payment.
• After 12 months: the applicable rate is reduced by 50% (Foundation — 5%; Growth and Authority — 3.5%) and continues for as long as the Referred Customer remains a continuous, paying customer (the life of the subscription).

Commissions are calculated on amounts actually paid by the Referred Customer, excluding taxes, fees, setup charges, and any amounts refunded, credited, or discounted. Commissions accrue only when a payment clears. If a payment is later refunded, reversed, or charged back, the corresponding Commission is void and may be deducted from your balance or future Commissions.

The 12-month period begins on the Referred Customer’s first Qualifying Payment. A lapse in the customer’s subscription may end further Commissions; a returning customer is not guaranteed to re-qualify.

A customer is attributed to you when they subscribe through your Referral Link, or when you introduce them to us directly and we confirm the attribution. Where more than one affiliate is involved, the most recent referring link before checkout is credited. Self-referrals, referrals of your own accounts or businesses, and referrals of existing Netwave customers do not qualify. We are the final authority on attribution and Commission calculations, made in good faith.

Commissions on payments that clear on or before the last day of a calendar month are paid on or around the 15th of the following month, via PayPal or, where arranged, direct deposit (ACH), provided your balance meets the $100 minimum payout. Balances below $100 roll forward to the next payout. You are responsible for providing accurate payment details.

Taxes: You are solely responsible for all taxes on your Commissions. U.S. affiliates must provide a completed Form W-9 before payments exceeding $600 in a calendar year; absent a valid W-9, we may withhold as required by law or delay payment. We may issue a Form 1099-NEC where required.

You agree to represent Netwave and the Authority Platform honestly and professionally. You may not:

• Make false, misleading, or exaggerated claims, including guarantees of specific results or rankings.
• Send spam or unsolicited bulk email, SMS, or messages, or violate any anti-spam or privacy law.
• Bid on, or use, “Netwave,” our brand names, or confusingly similar terms in paid search or domain names.
• Offer unauthorized discounts, rebates, coupons, or cash-back on our behalf.
• Use cookie-stuffing, fraud, bots, or any deceptive or manipulative tracking practices.
• Represent yourself as Netwave, or imply endorsement or partnership beyond the affiliate relationship.
• Promote in a manner that is unlawful, defamatory, obscene, or harmful to our reputation.

Violation may result in forfeiture of Commissions and termination from the Program.

We grant you a limited, non-exclusive, revocable license to use Netwave-approved names, logos, and materials solely to promote the Program during your participation, and only as permitted here. All intellectual property remains ours. You may not modify our marks or use them in a way that implies you are Netwave. This license ends when your participation ends.

Non-public information we share with you (including commission structures beyond what is publicly posted, customer data, and business information) is confidential and may be used only to participate in the Program. You will protect it and not disclose it.

These Terms apply while you participate in the Program. Either party may terminate at any time, for any reason, with or without notice. On termination, your Referral Links are deactivated and the license in Section 9 ends. Commissions earned on Qualifying Payments before termination will be paid per these Terms, except where terminated for fraud, abuse, or breach, in which case unpaid Commissions may be forfeited.

We may modify the Program, commission rates, or these Terms at any time. Material changes will be communicated by posting an updated version or by email, and take effect for periods and Referred Customers after the effective date of the change. Your continued participation after a change constitutes acceptance.

The Program is provided “as is,” without warranties of any kind. We do not guarantee any level of earnings, availability, or tracking accuracy. To the maximum extent permitted by law, Netwave is not liable for indirect, incidental, special, or consequential damages, and our total liability relating to the Program will not exceed the total Commissions paid to you in the six months before the claim.

You will indemnify and hold harmless Netwave and its owners, employees, and affiliates from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your promotional activities, your breach of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. The exclusive venue for any dispute is the state or federal courts located in North Carolina, and you consent to their jurisdiction.

These Terms are the entire agreement between you and Netwave regarding the Program and supersede prior understandings. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them. Our failure to enforce a provision is not a waiver.
